These Terms of Service (the "Terms") govern your access to and use of DayKeep (the "Service"). The Service is operated by Michael Prince, a sole proprietor trading as DayKeep ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

DayKeep is a task and productivity application that lets you create lists and tasks, subtasks, notes, reminders and recurring items, attach files, track events and workouts, and sync your data across your devices, including offline. We may add, change, or remove features over time.

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be able to form a binding contract to use the Service. Notify us promptly of any unauthorized use.

You retain ownership of the content you create in the Service. You grant us a limited license to host, store, process, and back up that content solely to operate and improve the Service. We do not sell your personal data. Our handling of personal information is described in our Privacy Policy. You can export your data from within the app at any time.

5. Subscriptions and billing

Some plans are free and some are paid. Paid plans are billed in advance on a recurring basis, monthly or annually depending on the plan you choose, and renew automatically until cancelled. You can cancel at any time; your paid access then continues until the end of the period you have already paid for. Prices, taxes, and plan features may change, and we will give reasonable notice of material changes before they take effect. Payment is handled by a third-party payment processor; by subscribing you also agree to that processor's terms. Refunds are governed by our Refund & Cancellation Policy.

6. Cancellation and termination

You may stop using the Service and cancel a paid plan at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, the licenses granted in these Terms end, though some provisions survive by their nature (for example, ownership, disclaimers, and limitations of liability).

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. You are responsible for keeping your own copies of important data.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

9. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the revised Terms.

10. Governing law

These Terms are governed by the laws of the United States and the State of Washington, without regard to conflict-of-laws principles. The courts located in that state will have exclusive jurisdiction over any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.
